Welcome to Space! These Terms of Use are entered into between you (hereinafter referred to as “you” or “your”), as User, and, on the other side, SYNAPSE LABS INC, a company established under the laws of the Republic of Panama, with business address at World Trade Center 200-B, Suite 270, Calle 53 Este, Marbella, Ciudad de Panama, PA, Republica de Panama (“us” or “Space”), as the operator of the Platform. Any claim arising out of or relating to these Terms or the Services must be brought within one year after the event giving rise to the claim, failing which such claim is permanently barred. Acceptance of Terms. By accessing our website and using our Services, you fully acknowledge that you have read, understood, and accepted to be bound by these terms and conditions, which shall form a legally binding agreement between you and Space (hereinafter referred to as “Terms”). Additional Terms. When you decide to access, test or use specific features described or available on the Website, you may be subject to specific additional terms and conditions that will be displayed in the corresponding section and must be accepted before accessing those features. Where Additional Terms conflict with these Terms, the Additional Terms prevail for that specific feature.

Who we are and how to contact us

About Space. Space is a decentralised prediction market platform built on the Solana Blockchain. We provide the technology infrastructure that allows users to trade on the outcomes of Events across categories including crypto, politics, sports, economics, technology, and culture. We are a technology provider - not a broker, financial adviser, counterparty, or bookmaker. We do not take positions in any Market, provide trading recommendations, or guarantee any outcome. Privacy. Your use of the Platform is subject to our Privacy Policy, which explains how we collect, use, and store your personal data. By using the Services, you confirm you have read and understood it. Definitions (a-z)

“Applicable Law” means any law, regulation, rule, order, or binding requirement of any governmental or regulatory authority applicable to Space or to you in connection with your use of the Services, including the laws of the Republic of Panama. “Crypto-asset” means a digital representation of a value or right that can be transferred and stored electronically using distributed ledger or similar technology; “Electronic Wallet” means a non-custodial application that allows you to store, manage, and transact with Crypto-assets and interact with the Platform. “Event” means the real-world occurrence, on-chain condition, or other verifiable circumstance on which a Market is based, the outcome of which is determined by the applicable resolution criteria. Events include, without limitation, sports results, political outcomes, economic data releases, and crypto asset price levels. “Market” means a market listed on the Platform based on a defined Event, with two or more mutually exclusive outcomes and predefined resolution criteria, through which Users may trade outcome Shares. Specific rules may apply to individual Markets in addition to these Terms. “Platform” means the website into.space and its subdomains. “Services” means all features and functionality made available through the Platform, including accessing and participating in Markets, placing and managing orders, holding and settling positions, using leverage where available, minting and burning Shares, and interacting with the underlying smart contract infrastructure. “Shares” means the digital units representing a position on a specific Market outcome. Shares can be created, traded, converted, and settled through the Services in accordance with the applicable Market rules. “Terms” means these Terms of Use, as updated from time to time, together with any Additional Terms applicable to specific features. “USDC” means USD Coin, a digital asset designed to track the value of the United States dollar and used as the primary currency for trading, fees, and settlement on the Platform. “User” means any person who accesses the Platform or uses the Services. References to “you” and “your” in these Terms refer to the User. “$SPACE” means the utility Crypto-asset issued by Space or its affiliated entities, that can be used within the Platform according to these Terms.

Risks, Disclaimers and Important Information

By accessing or using the Services, you acknowledge that you have read, understood, and accepted the risks described in this section and voluntarily assume them. If you do not understand or accept these risks, you must not use the Services.

Eligibility

The Services are available only to persons aged 18 or over who have the legal capacity to enter into a binding agreement under the laws of their jurisdiction. By using the Services, you confirm that you meet these requirements. You are solely responsible for ensuring that your access to and use of the Platform complies with all laws and regulations applicable in your jurisdiction.

Nature of the Platform

The Platform operates as a decentralised peer-to-peer exchange where users trade Outcome Shares with each other through an order book. Space does not take positions in any Market, does not set odds, and does not act as a bookmaker, counterparty, or house. The Services are structured as a financial exchange and not as a betting product. We acknowledge that certain jurisdictions may classify prediction market activity as gambling under local law. Any such classification does not change the structure or operation of the Platform. You are solely responsible for determining whether using the Services is lawful in your jurisdiction. Space does not hold any financial services licence and does not operate as a broker, dealer, exchange, or investment adviser in any jurisdiction. Outcome Shares are not intended to be securities, derivatives, or regulated financial instruments unless a competent authority in your jurisdiction determines otherwise.

No Advice

Space does not provide investment, financial, legal, tax, or trading advice of any kind. Nothing on the Platform should be treated as a recommendation or solicitation to buy, sell, or hold any position. All trading decisions are made solely by you and at your own risk. Information, data, probabilities, charts, commentary, or other materials available through the Platform are provided for informational purposes only. Such information may be incomplete, inaccurate, or outdated and must not be relied upon as advice or as a guarantee of any outcome. If you are unsure about any aspect of the Services or the risks involved, you should seek independent professional advice before using the Platform.

Trading Risks

Trading on the Platform involves substantial financial risk and may result in the total loss of funds committed to a position. Binary outcome risk Every Market resolves to either 1 USDC or 0 USDC per Share depending on the outcome of the underlying Event. If the Event resolves against your position, your Shares will settle at zero. There is no partial recovery. This is fundamentally different from traditional financial instruments where value may fluctuate. Leverage and liquidation risk The Platform may allow leveraged trading of up to 10x leverage. If your position falls below the applicable liquidation threshold, it may be liquidated automatically and without prior notice. Liquidation may result in the immediate loss of all collateral posted for that position. You should not use leverage unless you fully understand how liquidation works and accept the risk of total loss. Liquidity risk Not all Markets will have sufficient liquidity to allow you to enter or exit positions at your desired price or at all. You may be unable to close a position prior to Market resolution. Volatility risk Market prices may move rapidly as new information about the underlying Event becomes available. Prices available when you place an order may differ significantly from the price ultimately executed. No guarantee of returns Space does not guarantee any return on any position. Past performance in previous Markets does not indicate future results. You should only use funds that you can afford to lose entirely.

Crypto-Asset Risks

General crypto-asset risk Crypto-assets, including USDC and $SPACE, carry risks that traditional financial assets do not. Their value is not guaranteed by any government or central bank. Crypto-assets may experience extreme volatility and may lose significant or all value. Regulatory frameworks governing Crypto-assets vary widely across jurisdictions and continue to evolve. Crypto-assets may be restricted or prohibited in certain jurisdictions. Blockchain and smart contract risk The Platform operates using smart contracts deployed on the Solana Blockchain. Blockchain networks may experience congestion, forks, outages, or other disruptions. Smart contracts may contain bugs, vulnerabilities, or unintended logic. These risks are inherent to decentralised technology and are outside Space’s control. Blockchain transactions may be irreversible. Wallet and private key risk You are solely responsible for the security of your Electronic Wallet, private keys, and access credentials. Space does not have access to your wallet or private keys and cannot recover them under any circumstances. If you lose access to your wallet or private keys, your funds may become permanently inaccessible.

Non-Custodial Infrastructure

The Platform operates using non-custodial infrastructure. Space does not hold, control, or have access to user funds at any time. All transactions occur directly from users’ Electronic Wallets through smart contracts deployed on the Solana Blockchain. When you trade on the Platform, your funds move peer-to-peer through the protocol. Space is never in possession of your USDC, Shares, or other Crypto-assets. You retain full control over your assets at all times. Space cannot freeze, reverse, or recover funds from your wallet.

$SPACE Token

The $SPACE token is not an investment The $SPACE token is intended solely as a utility token within the Space ecosystem. It is not intended to be, and should not be interpreted as, an investment, security, commodity, derivative, or financial instrument. You should not acquire or hold $SPACE with any expectation of profit, appreciation in value, or financial return. Space makes no representation that $SPACE will retain any value or that any market for $SPACE will exist or continue to exist. No ownership or governance rights Holding $SPACE does not grant you any ownership interest, equity stake, governance rights, voting rights, revenue share, or any other rights in Space or any affiliated entity. The regulatory environment for prediction markets, Crypto-assets, and decentralised finance is evolving rapidly across jurisdictions. Existing laws and regulations may change at any time. Future regulatory developments may require Space to modify, restrict, or discontinue the Services in certain jurisdictions without prior notice. You are solely responsible for ensuring that your use of the Services complies with all laws applicable in your jurisdiction, including financial services regulations, gambling laws, anti-money laundering requirements, and tax obligations. Space does not provide legal or tax advice.

Your Responsibility

Trading on the Platform involves the real possibility of losing the entire amount committed to a position. You should not trade using funds required for essential living expenses, debt obligations, or other financial commitments. If you do not fully understand how blockchain technology, non-custodial wallets, or prediction markets operate, you should not use the Services. If your use of the Platform becomes compulsive or harmful to your financial or personal wellbeing, you should stop using the Services and seek professional support in your jurisdiction. Users may contact Space to request voluntary self-exclusion.

Space Public Sale

Space may conduct or facilitate a public sale of the $SPACE token (the “Public Sale”). Participation in the Public Sale involves significant risk and uncertainty. By participating in any Public Sale, you acknowledge and agree to the following:

No investment purpose

The $SPACE token is offered solely for its intended utility within the Space ecosystem. The Public Sale is not an offer of securities, financial instruments, or investment products. You should not purchase $SPACE with any expectation of profit, appreciation in value, or financial return. The value of $SPACE may be highly volatile and may decline to zero. Nothing relating to the Public Sale constitutes investment advice, financial promotion, or a solicitation to invest.

No guarantees regarding the Platform or ecosystem

The development and operation of the Space Platform and ecosystem may evolve over time. Space does not guarantee that:
  • the Platform will launch or continue operating;
  • any particular functionality, product, or feature will be developed;
  • the $SPACE token will have any specific utility;
  • a market for $SPACE will exist or continue to exist; or
  • the value of $SPACE will increase or be maintained.
Roadmaps, technical descriptions, whitepapers, and other materials relating to the Platform or ecosystem are provided for informational purposes only and may change at any time. Participation in the Public Sale may be restricted or prohibited in certain jurisdictions. The Public Sale is not available to residents, citizens, persons located in, or entities incorporated or organized in the following jurisdictions (the “Restricted Jurisdictions”):
  • United States of America
  • Canada
  • United Kingdom
  • People’s Republic of China
  • Hong Kong
  • Singapore
  • Iran
  • North Korea
  • Syria
  • Cuba
  • Russia
  • Belarus
  • Any jurisdiction subject to comprehensive sanctions administered by the United Nations, United States, European Union, or other applicable authorities
The Public Sale is also not available to any “U.S. Person” as defined under Regulation S of the United States Securities Act of 1933, as amended. For the purposes of these Terms, a U.S. Person includes, but is not limited to:
  • any natural person resident in the United States;
  • any partnership or corporation organized or incorporated under the laws of the United States;
  • any estate of which any executor or administrator is a U.S. Person;
  • any trust of which any trustee is a U.S. Person;
  • any agency or branch of a foreign entity located in the United States;
  • any non-discretionary account or similar account held by a dealer or fiduciary for the benefit of a U.S. Person;
  • any discretionary account or similar account held by a dealer or fiduciary organized or incorporated in the United States; or
  • any partnership or corporation organized under the laws of any foreign jurisdiction formed by a U.S. Person principally for the purpose of investing in the Public Sale.
The Public Sale is also unavailable to any individual or entity that is:
  • subject to economic or trade sanctions;
  • listed on any sanctions list maintained by the United Nations, United States (including the OFAC Specially Designated Nationals list), the European Union, or the United Kingdom; or
  • located in or ordinarily resident in any sanctioned territory.
By participating in the Public Sale, you represent and warrant that:
  • you are not a U.S. Person;
  • you are not located in, incorporated in, or a resident of any Restricted Jurisdiction;
  • you are not participating in the Public Sale on behalf of any U.S. Person or Restricted Person; and
  • your participation complies with all laws and regulations applicable in your jurisdiction.
Space reserves the right to restrict, reject, or cancel participation in the Public Sale at its sole discretion if it believes a participant may be located in a Restricted Jurisdiction or otherwise prohibited from participating.

Regulatory risk

The regulatory treatment of crypto-assets and token sales remains uncertain and varies significantly across jurisdictions. Future regulatory developments may impact the legality, transferability, or use of the $SPACE token. Regulatory actions may also require Space to modify, restrict, suspend, or discontinue aspects of the Platform or ecosystem.

No ownership rights

Purchasing or holding $SPACE does not grant you:
  • ownership or equity in Space or any affiliated entity;
  • governance or voting rights;
  • rights to profits, revenue, or dividends; or
  • any claim over the assets, intellectual property, or operations of Space.

Technical and delivery risks

Participation in the Public Sale involves technical risks including, but not limited to:
  • smart contract vulnerabilities;
  • blockchain network failures, congestion, or outages;
  • wallet incompatibility;
  • incorrect transaction submissions;
  • loss of access to wallets or private keys.
Blockchain transactions are irreversible. Space cannot reverse transactions or recover tokens sent to incorrect addresses.

No refund or cancellation

Purchases of $SPACE are final and non-refundable.

No liability for market conditions

Space does not control secondary markets or trading venues where $SPACE may be traded. Space is not responsible for:
  • price volatility;
  • market liquidity;
  • trading restrictions imposed by third-party platforms; or
  • suspension or delisting of $SPACE by exchanges.
Participants acknowledge that the value of $SPACE may fluctuate significantly and may become worthless.

Services

Space provides a decentralised prediction market platform on the Solana Blockchain. The Services allow you to trade on the outcomes of Events, manage positions, and participate in incentive programs. All core Services operate in USDC. Full technical documentation describing how the Platform works is available at https://docs.into.space/en/concepts/how-it-works. Access. To use the Services you must connect a compatible Electronic Wallet. All transactions - placing orders, posting collateral, receiving settlement - are executed through your connected wallet. You are solely responsible for maintaining access to your wallet. Trading. Markets are available across categories including crypto, politics, sports, economics, technology, and culture. Each Market is based on a defined Event with predefined resolution criteria published before trading opens. You trade by buying and selling Shares:
  • A YES Share pays 1 USDC if the Event resolves in favour of that outcome and 0 USDC if it does not.
  • A NO Share pays 1 USDC if the Event does not resolve in favour of that outcome and 0 USDC if it does.
  • In any binary Market, YES and NO Share prices always add up to 1 USDC.
You can enter and exit positions at any time before a Market resolves, subject to available liquidity. Leverage. The Services allow you to trade with leverage of up to 10x. This means you can take a position larger than the collateral you post. If your position falls to the liquidation threshold, it will be closed automatically and without prior notice. You may lose all posted collateral. Do not use leverage unless you fully understand how liquidation works. Fees. The Platform applies a dynamic fee structure to taker orders. Maker orders that add liquidity to the order book incur no fee. Fee rates are published on the Platform and may vary based on Market conditions. Space reserves the right to update its fee structure at any time with notice published on the Platform. Market Resolution. Each Market resolves in accordance with its predefined resolution criteria. Markets resolve through one of two mechanisms:
  • Deterministic resolution - for crypto price and on-chain Events, resolved automatically using verifiable blockchain data.
  • Oracle resolution - for real-world Events, resolved using designated data sources following the conclusion of the Event. Space reserves the right to extend the resolution period at its sole discretion.
Resolution criteria are final and binding. Space does not adjust outcomes based on a User’s subjective interpretation of an Event. If you disagree with how a Market is defined or how it will resolve, do not trade in it. Oracle Failure. If a designated data source is unavailable or provides data Space reasonably considers to be unreliable, Space may extend the resolution period, designate an alternative data source, or void the Market and return collateral to Users at the last recorded position value net of fees. Space’s decision in these circumstances is final. You waive any claim against Space arising from the designation of an alternative data source, delayed resolution, or voiding of a Market in accordance with these Terms. Market Cancellation. Space may cancel or void a Market at any time if the underlying Event is cancelled or postponed indefinitely, the resolution criteria cannot produce a determinable outcome, the Market has been subject to manipulation, or continuing the Market would create material legal or regulatory risk. If a Market is voided, Space will use reasonable efforts to return USDC collateral to Users’ wallets. Space is not liable for loss of anticipated profits or opportunity cost arising from a cancellation. Space reserves the right to modify the smart contracts underlying this mechanism at any time. Material changes will be communicated to Users in advance where reasonably practicable. Platform availability. Space does not guarantee continuous availability of the Platform. The Services may be interrupted for maintenance, upgrades, or reasons outside Space’s control. Certain features may be experimental or in beta and may contain bugs or behave unexpectedly. You use experimental features entirely at your own risk. Portfolio. The Platform provides a portfolio interface where you can monitor your positions, open orders, balances, and trade history.

$SPACE Token

$SPACE is an optional utility token. You do not need to hold or use $SPACE to access the core Services. All Markets and core platform features operate in USDC. $SPACE may be used in connection with trading competitions, referral programs, seasonal airdrops, and certain Markets that accept $SPACE as the trading currency. Fee allocation. Space operates a fee allocation mechanism whereby 50% of all trading fees are used to purchase and permanently burn $SPACE tokens, and 50% are allocated to the protocol treasury. This is executed on-chain through the Platform’s smart contracts. Space reserves the right to modify this mechanism at any time. Material changes will be communicated to Users in advance where reasonably practicable. Incentive programs and Seasons. Space may run time-limited incentive programs called Seasons. During a Season, your activity on the Platform generates points that determine eligibility for $SPACE distributions. Points are participation metrics only - they are not tokens, have no monetary value, and do not guarantee any future reward. Points reset at the end of each Season. Season parameters are published before each Season begins. No value warranty. Space makes no representation regarding the value, utility, price, or future performance of $SPACE. Acquiring or holding $SPACE involves risk, including the risk of total loss of value. The $SPACE token is not an investment. $SPACE is a utility token intended solely for use within the Space ecosystem. It is not intended to be, and should not be construed as, an investment, security, commodity, derivative, or financial instrument of any kind under the laws of any jurisdiction. You should not purchase, acquire, or hold $SPACE with any expectation of profit, appreciation in value, or financial return. Space makes no representation that $SPACE will retain any value or that any market for $SPACE will exist or continue to exist. Holding $SPACE does not grant you any ownership interest, equity stake, governance rights, voting rights, revenue share, or any other rights in Space or any of its affiliated entities. Space may modify, suspend, or terminate any $SPACE distribution program, incentive mechanism, or token-related feature at any time and without prior notice. You have no right to any future $SPACE distribution, airdrop, or reward by virtue of past participation or current holdings.

Users Obligations, Responsibilities and Wellbeing

By using the Services, you agree to everything in this section. Read it carefully. Your trading decisions are yours alone. Before entering any position, you are responsible for reviewing the Market’s outcome question, resolution criteria, fee structure, and leverage parameters. Space does not advise you. Every decision you make on the Platform is based on your own analysis and judgment. You accept the risks. By using the Services you acknowledge that:
  • Shares can expire worthless. If the Event resolves against your position, you receive 0 USDC per Share regardless of how close the market price was to winning.
  • Leveraged positions can be liquidated without notice. You may lose all posted collateral instantly.
  • Market prices move rapidly. The price available when you place an order may not be the price you get.
  • There is no guarantee of liquidity. You may not be able to exit a position at your desired price or at all.
  • Past performance in previous Markets is not indicative of future results.
You are responsible for your own compliance. You must ensure your use of the Services complies with all laws applicable in your jurisdiction, including anti-money laundering (AML) and tax obligations. Space does not provide legal advice. If you are unsure whether using the Services is lawful where you are, seek independent legal advice before proceeding. Sanctions. By using the Services, you represent and warrant that you are not, and are not acting on behalf of, any person or entity that is:
  • listed on any sanctions list maintained by the UN Security Council, OFAC, FATF, or any equivalent authority;
  • a citizen or resident of any jurisdiction subject to comprehensive trade sanctions or embargoes; or
  • otherwise prohibited from using the Services under Applicable Law.
Jurisdiction. Space reserves the right to restrict or refuse access to the Services in any country or region at its sole discretion, at any time and without notice. Minors. The Services are strictly prohibited for anyone under the age of 18, or the age of majority in your jurisdiction if higher. By using the Services you confirm you meet this requirement. Space reserves the right to require age verification at any time and to immediately terminate any account found to be operated by a minor. Responsible use. Space encourages responsible participation. If your use of the Platform is becoming compulsive or harmful to your financial or personal wellbeing, stop using it and seek support from a professional in your jurisdiction. You may contact us at support@into.space to request voluntary self-exclusion. We will use reasonable efforts to restrict your account within 5 business days of receiving a verified request. Self-exclusion via alternative wallets or devices cannot always be technically enforced, and Space accepts no liability for losses incurred in those circumstances. Third party services. Parts of the Platform may link to or integrate with third-party websites, wallets, or services. Those third parties operate under their own terms and Space has no control over them. Space is not responsible for any loss or damage arising from your use of third-party services, even where those services are displayed on or accessible through the Platform. Campaigns. Space may run campaigns including giveaways, airdrops, and referral programs. Campaigns run directly by Space are subject to these Terms and any specific campaign rules published at the time. Campaigns run by third parties are governed entirely by their own terms. Space is not responsible for third-party campaigns even if they appear on the Platform.

Regulatory Scope

Space is not a gambling operator. The Platform is a decentralised peer-to-peer exchange. Users trade against each other through an order book. Space does not take positions, set odds, or act as a bookmaker or house. The Platform provides software infrastructure that allows users to participate in peer-to-peer prediction markets. Nothing in these Terms creates any fiduciary duty on the part of Space toward any User. We acknowledge that some jurisdictions may classify prediction market activity as gambling under local law. That classification - where it exists - does not change the nature of what Space is or how it operates. You are solely responsible for determining whether using the Services is lawful in your jurisdiction. Space is not a financial services provider. Space does not hold any financial services licence and does not operate as a broker, dealer, exchange, or investment adviser in any jurisdiction. Outcome Shares are not securities, derivatives, or regulated financial instruments unless a competent authority in your jurisdiction determines otherwise. Nothing on the Platform is financial advice. US Persons are prohibited. The Services are not available to US Persons. A US Person is anyone who is:
  • a citizen or resident of the United States or any of its territories;
  • a legal entity incorporated or based in the United States or any of its territories; or
  • physically accessing the Services from within the United States or its territories.
By using the Services, you represent and warrant that you are not a US Person and are not acting on behalf of one. This prohibition exists because Space is not registered with the US Commodity Futures Trading Commission (CFTC) and does not offer event contracts or swaps to US Persons. Any access by a US Person is unauthorised and a material breach of these Terms. Space reserves the right to restrict your access to the Platform, disabling platform interfaces, preventing further interaction through supported front-end services, and taking any other action reasonably available to Space. Restricted jurisdictions. The Services are also unavailable to persons located in, resident in, or citizens of the following jurisdictions: United Kingdom, France, Portugal, Hungary, Australia, Canada, China (including Hong Kong SAR and Macau SAR), Singapore, South Korea, Taiwan, Russia, Belarus, Iran, North Korea, Syria, Cuba, and any jurisdiction on the FATF High-Risk Jurisdictions list subject to a Call for Action. Space may update this list at any time. Changes take effect immediately upon publication on the Platform. Using a VPN or proxy to circumvent geographic restrictions is a material breach of these Terms. You assume all legal and financial risk from doing so.

Identification, Security and Prohibited Conduct

Identity verification. Space may be required by law or regulatory obligation to verify your identity. This may be triggered by transaction volume, jurisdiction, or risk indicators. When required, you must provide documents such as a government-issued ID, proof of address, or proof of funds. Space retains identity data only as long as required by Applicable Law and in accordance with its Privacy Policy. If you do not complete identity verification when requested, Space may suspend or terminate your access. If information you provide is found to be false or incomplete, Space may terminate your account immediately. You are liable for any costs or losses Space incurs as a result of false information you provide. Your wallet is your responsibility. All actions taken through your connected Electronic Wallet are deemed to have been authorised by you. Space cannot access, recover, or reverse transactions in your wallet under any circumstances. Space is not liable for any loss arising from unauthorised access to your wallet, phishing, hacking, or any other compromise of your private keys. Loss of private keys, seed phrases, or wallet credentials may result in permanent loss of access to your Crypto-assets, and Space cannot recover them. Account suspension and termination. Space may suspend or terminate your access to the Platform at any time, with or without notice, if:
  • you breach these Terms;
  • we are required to do so by law or regulatory order;
  • your account shows signs of fraudulent, manipulative, or suspicious activity; or
  • we discontinue the Platform or any part of the Services.
On termination, open positions will be handled in accordance with their applicable Market resolution criteria. Space is not liable for losses arising from suspension or termination carried out in accordance with these Terms. Prohibited conduct. By using the Services, you represent and warrant that you will not:
  • violate any Applicable Law or these Terms;
  • interfere with or disrupt the Services or the experience of other Users;
  • engage in any form of market manipulation, including pump and dump schemes, wash trading, spoofing, layering, quote stuffing, front running, or self-trading;
  • attempt to identify or exploit any vulnerability in the Platform, its smart contracts, or any integrated third-party system - any gains derived from exploiting a vulnerability may be clawed back by Space;
  • introduce malware, viruses, trojans, or any other malicious code into the Platform;
  • attempt unauthorised access to the Platform, its servers, or connected systems;
  • create multiple accounts to circumvent access restrictions, geographic blocks, self-exclusion requests, or any other limitation imposed under these Terms;
  • use automated bots or scripts to interact with the Platform in a way that disrupts, overloads, or unfairly advantages you relative to other Users, except where Space has expressly permitted this in writing; or
  • use the Services for any illegal purpose or to cause harm to any person.
Enforcement. Space may investigate any suspected breach of these Terms and take action without prior notice, including blocking or closing your account, restricting or disabling your access to the Platform, blocking interface access, or taking any other action reasonably available to Space, reporting the matter to relevant authorities, and taking legal action. Space’s determination of whether a breach has occurred is final for the purposes of any enforcement action taken under these Terms.

Indemnification

You agree to indemnify and hold harmless Space, its affiliates, officers, directors, employees, contractors, and agents from and against any claims, costs, damages, penalties, and legal fees arising from:
  • your use of the Services;
  • your breach of these Terms; or
  • your violation of any Applicable Law or the rights of any third party.
Space reserves the right to take sole control of the defence of any claim covered by this indemnity, including decisions on settlement, at its own discretion.

Warranty and Disclaimers

The Services are provided on an “as-is” and “as-available” basis. To the fullest extent permitted by Applicable Law, Space and its affiliates, officers, employees, and service providers disclaim all representations and warranties - express, implied, or statutory - in connection with the Platform, the Services, any Market, any Share, USDC, or $SPACE. In particular, Space does not warrant that:
  • the Services will be uninterrupted, error-free, or free of defects;
  • any order will be matched, executed, or filled at any particular price or at all;
  • any Market will have sufficient liquidity;
  • any position can be closed at a desired price or before liquidation;
  • any leveraged position will avoid liquidation;
  • any liquidity reward, airdrop, or incentive will be earned or distributed;
  • any Market price reflects objective real-world probability;
  • market data, price feeds, oracle inputs, or blockchain data used for resolution are accurate, complete, or reliable; or
  • the smart contracts underlying the Platform are free from bugs, vulnerabilities, or unintended logic.
Market resolution criteria are final and binding. Space does not adjust outcomes based on your subjective interpretation of an Event. If you disagree with how a Market is defined or how it resolves, do not trade in it. Space does not warrant the security or continuous availability of the Solana Blockchain or any other infrastructure used in connection with the Services. Blockchain transactions may be irreversible. Network congestion, forks, and technical failures are outside Space’s control. Space makes no representation regarding the value, utility, or future performance of $SPACE or any other digital asset. Crypto-asset markets are highly experimental and may experience extreme volatility, regulatory changes, or technological failures that could affect the operation of the Platform or the value of digital assets used within it. In jurisdictions that do not permit the exclusion of certain warranties, those warranties are limited to the minimum extent permitted by law.

Liability

To the fullest extent permitted by Applicable Law, Space and its affiliates shall not be liable for any indirect, special, incidental, consequential, punitive, or multiple damages of any kind arising from your use of the Platform or the Services. Space is not liable for any financial loss arising from:
  • orders that are not matched, executed, delayed, or cancelled;
  • market volatility, price movements, illiquidity, or slippage;
  • leverage and the liquidation of positions;
  • Market resolution in accordance with predefined criteria;
  • oracle data, blockchain data, or third-party data sources;
  • smart contract bugs, vulnerabilities, or unintended logic;
  • network congestion, blockchain forks, or technical disruptions;
  • unauthorised access to or transactions through your Electronic Wallet;
  • third-party services or infrastructure; or
  • participation in any incentive program, airdrop, or $SPACE-related feature.
Space is not liable for the trading decisions or conduct of other Users, or for Market conditions resulting from User activity. Aggregate cap. To the extent any liability is found despite the exclusions above, Space’s total aggregate liability to you shall not exceed the greater of: (i) the total fees you paid to Space in the 30 days before the event giving rise to the claim; or (ii) USD 100. This cap applies across all claims combined, not per claim. These exclusions and limitations apply whether or not Space has been advised of the possibility of such losses, and to the fullest extent permitted by Applicable Law.

Intellectual Property Rights

Space grants you a limited, revocable, non-exclusive, non-transferable licence to access and use the Platform solely for your personal use and only as permitted by these Terms. You may not use the Platform for commercial purposes, resale, or on behalf of any third party without Space’s prior written consent. Unauthorised use is a material breach of these Terms. All rights in and to the Platform, the Services, and all related intellectual property - including software, code, interfaces, content, logos, trademarks, and documentation - belong to Space or its licensors. Nothing in these Terms transfers any ownership to you. All rights not expressly granted are reserved.

Force Majeure

Space is not liable for any failure or delay in performing its obligations under these Terms where that failure or delay results from events outside its reasonable control, including natural disasters, war, civil unrest, acts of terrorism, regulatory action, Blockchain network failures, or internet infrastructure outages.

Changes to these Terms

Space may update these Terms at any time. Changes take effect immediately upon publication on the Platform, with the “Last Reviewed” date updated accordingly. Your continued use of the Services after changes are published means you accept the updated Terms. For material changes, Space will use reasonable efforts to give Users at least 7 days’ notice before they take effect, where practicable. Transfer of these Terms

You may not transfer your rights or obligations under these Terms without Space’s prior written consent. Space may transfer its rights and obligations under these Terms to any affiliate or successor entity without your consent, provided this does not materially reduce your rights under these Terms.

Governing Law

These Terms are governed by the laws of the Republic of Panama. Any dispute arising from your use of the Platform or these Terms shall be resolved exclusively under Panamanian law, without regard to conflict of law principles. Arbitration. Any dispute, controversy, or claim arising out of or in connection with these Terms shall be finally resolved by arbitration under the Rules of Arbitration of the International Chamber of Commerce (ICC). The seat of arbitration is Panama City, Republic of Panama. The language is English. The arbitral award is final and binding. Nothing in this clause prevents Space from seeking urgent injunctive relief from a court of competent jurisdiction. Class action waiver. You waive any right to bring or participate in any class action, collective action, or representative proceeding against Space. All claims must be brought on an individual basis only. Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions continue in full force. The invalid provision will be replaced with one that most closely reflects the original intent.
